Terms of Service

This is a plain-language draft for the Vymeros marketplace serving Canada and the United States. It has not been reviewed by a lawyer and does not constitute legal advice. Vymeros will publish a reviewed version before a full commercial launch.

Welcome to Vymeros. These Terms of Service (the “Terms”) govern your access to and use of the Vymeros website, mobile experiences and services (together, the “Service”). By creating an account, listing an item, or using any part of the Service, you agree to these Terms.

1. User eligibility

You must be at least 18 years old and legally able to enter into a binding contract in your province, state or territory.
You must not be barred from using the Service under Canadian or U.S. law, or sanctioned by any government you or Vymeros are subject to.
Businesses may use the Service only through an authorized representative.

2. Account responsibilities

Provide accurate, current information (name, email, phone, location, account type).
Keep your credentials confidential and enable available security features.
You are responsible for all activity that occurs under your account.
Notify Vymeros promptly of any unauthorized access.

3. Seller and buyer responsibilities

Sellers must legally own or be authorized to sell each item they list, describe items honestly, use their own photos, and honor accepted offers or swaps.
Buyers must inspect items in person where possible, ask questions before completing a transaction, and pay or trade only through channels they trust and have documented.
Both parties are expected to communicate promptly and act in good faith.

4. Sale and swap transactions

Vymeros is a marketplace that connects users. Vymeros is not a party to any sale, purchase, trade, swap, rental or other transaction between users.
Ownership, quality, safety, legality and delivery of items are the sole responsibility of the buyer and seller.
Users are responsible for arranging safe meet-ups, shipping, taxes, duties and any regulatory compliance that applies to their transactions.

5. Listing accuracy

Titles, descriptions, prices, condition, photos, quantity and specifications must be accurate and not misleading.
You must disclose material defects, missing accessories, salvage or accident history, and any known issues.
Vymeros may edit, hide, remove or reclassify listings that appear inaccurate, misleading, unsafe or in violation of these Terms.

6. Prohibited conduct

No fraud, scams, phishing, chargeback abuse, wash trading or price manipulation.
No harassment, hate speech, threats, doxxing, or attempts to identify or contact users outside the Service without consent.
No spam, unsolicited promotions, or artificial engagement (fake reviews, ratings, offers or swaps).
No scraping, reverse engineering, automated access, or interference with the Service.
No use of the Service to move funds, launder value, evade sanctions or facilitate illegal activity.

7. Prohibited items

You may not list, sell, buy, swap, promote or negotiate items that are prohibited under the Prohibited Items Policy, including illegal, stolen, counterfeit, unsafe, or restricted items and any item prohibited by applicable local, provincial, state or federal law.

8. AI estimates and limitations

Vymeros AI features (including the AI Scan, valuation, demand score and listing generator) produce estimates only. See the AI Valuation Disclaimer for full detail. AI output is not a guarantee of price, authenticity, condition, ownership, demand, or investment performance, and is not financial, medical, legal or investment advice.

9. Marketplace fees

Basic listing and swapping on Vymeros is currently free.
Vymeros may introduce optional paid features (for example promoted listings, verification, or protected payments) with clear pricing before charging.
Any applicable taxes, currency conversion fees or third-party processor fees are your responsibility.

10. Payments

Vymeros does not currently hold, escrow or route transaction funds between buyers and sellers.
Users complete payment or exchange directly with each other, at their own risk.

10a. Shipping

Vymeros is not the carrier. Deliveries are performed by third-party carriers and their rules and restrictions apply.
Where Vymeros facilitates rate comparison, label creation, tracking or shipping support, Vymeros may charge a clearly disclosed Vymeros Shipping Service Fee shown separately from the carrier charge before you confirm purchase.
Vymeros may receive carrier discounts or partner compensation from shipping providers and may retain them as part of the service fee.
For swaps, each party pays for their own outgoing shipment unless the parties agree otherwise. See the Shipping Policy.

11. Disputes

Disputes about an item, transaction or swap are between the buyer and seller.
Vymeros may, at its discretion, restrict accounts, remove listings, or share information to help resolve disputes, but is not obligated to mediate or refund.
You agree to attempt good-faith resolution before escalating to legal action.

12. Account suspension

Vymeros may warn, restrict, suspend or terminate your account and remove content at any time if we believe (in good faith) you have violated these Terms, harmed another user, or created legal, safety or reputational risk to the Service. Where possible we will notify you and describe the reason.

13. Intellectual property

The Vymeros name, logo, tagline (“Unlock the Value in Everything”), branding, software and design are owned by Vymeros or its licensors.
You retain rights to content you post (photos, descriptions, messages) and grant Vymeros a worldwide, non-exclusive, royalty-free licence to host, display, resize and distribute that content for the purpose of operating and promoting the Service.
Do not copy, upload or list content you do not have the right to use.

14. Limitation of liability

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Vymeros disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Vymeros is not liable for indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill arising from your use of the Service or any transaction between users. Some jurisdictions do not allow certain exclusions; in those places our liability is limited to the greatest extent permitted.

15. Governing law

These Terms will be governed by the laws of the province, state or country identified in the published version of these Terms (to be confirmed prior to commercial launch). Nothing in these Terms overrides mandatory consumer-protection rights available to you in your place of residence.

16. Changes to the Terms

Vymeros may update these Terms from time to time. We will change the “Last updated” date and, for material changes, notify you in the app or by email. Continued use of the Service after an update means you accept the new Terms.
